01 - Acceptance of Terms

By accessing our website, booking a strategy call, or using the Ligatrix client portal, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, do not use our services.

These terms apply to all visitors, clients, and portal users. Additional terms may apply to specific project agreements, which will be provided separately and signed before work begins.

02 - Services We Provide

Ligatrix LLC provides custom software development services, including but not limited to:

  • Custom web applications and platforms
  • Client portals and internal tools
  • Database architecture and API development
  • System integrations and automation
  • Ongoing support and maintenance (when contracted)

All services are delivered according to a project agreement signed by both parties before development begins. The scope, timeline, deliverables, and pricing are defined in that agreement.

03 - Project Agreements

Every project begins with a signed project agreement. This document defines:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment schedule
  • Communication protocols
  • Acceptance criteria for each phase

No work begins until both parties have signed the project agreement and the first payment has been received. Changes to scope after signing require a written change order, which may affect timeline and pricing.

04 - Payment Terms

Payment terms are defined in each project agreement. Standard terms include:

  • A deposit is required before work begins (typically 30-50% of total project cost)
  • Milestone payments are due upon completion and approval of each defined phase
  • Final payment is due before source code transfer and deployment credentials are released
  • All payments are processed through Stripe and are non-refundable once work on the associated milestone has begun

Late payments may result in work being paused until the balance is settled. We will provide at least 5 business days written notice before pausing any active work.

05 - Client Portal Access

Active clients receive access to the Ligatrix client portal. The portal provides real-time visibility into your project, including timelines, deliverables, messages, approvals, and documentation.

Portal access is granted on a per-user basis. You are responsible for maintaining the confidentiality of your login credentials. Do not share your portal access with unauthorized individuals.

All actions within the portal are logged for accountability. Portal access is revoked 12 months after project completion unless an ongoing support agreement is in place.

06 - Intellectual Property
Ownership Guarantee

Upon final payment, you own 100% of the custom source code, designs, databases, and documentation we create for your project. This is not a license. It is full, irrevocable ownership.

  • You receive the complete source code repository
  • You receive all deployment credentials and infrastructure access
  • You may modify, extend, resell, or redistribute the code without restriction
  • We retain no proprietary claim to your custom-built platform

The only exception: open-source libraries and third-party tools used in your project remain under their respective licenses. We will provide a full dependency list as part of your handover documentation.

We may retain anonymized, non-identifiable descriptions of the type of work performed for portfolio and marketing purposes, unless you request otherwise in writing.

07 - Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes but is not limited to:

  • Business strategies, financial data, and operational details
  • Technical architecture, source code, and system designs
  • User data, customer lists, and internal communications
  • Pricing, proposals, and negotiation details

Confidentiality obligations survive the termination of the project agreement and remain in effect indefinitely, unless the information becomes publicly available through no fault of the receiving party.

08 - Review and Approval (5-Day Window)

Each milestone delivery includes a 5-business-day review window. During this period, you review the deliverables and either approve them or submit specific, actionable feedback.

If no feedback is submitted within the 5-day window, the milestone is considered approved, and we proceed to the next phase.

Feedback must be specific and related to the agreed scope. Requests that fall outside the original scope will be treated as change orders and may affect timeline and cost.

This process ensures projects move forward predictably. Every milestone is documented in the portal with timestamps, so both parties have a clear record of approvals and feedback.

09 - Warranties and Support

All delivered platforms include a 1-year support window from the date of final delivery. During this period:

  • We fix any bugs or defects in the delivered code at no additional cost
  • We provide reasonable assistance with deployment and infrastructure questions
  • We respond to support requests within 2 business days

Support does not include new feature development, changes to scope, third-party service issues, or problems caused by modifications made by other developers after handover.

10 - Limitation of Liability

To the maximum extent permitted by law, Ligatrix LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you under the applicable project agreement.

This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.

11 - Termination

Either party may terminate a project agreement with 15 business days written notice. Upon termination:

  • You will be invoiced for all work completed up to the date of termination
  • Upon payment, you receive all work completed to date, including source code and documentation
  • Any prepaid amounts for unstarted milestones will be refunded
  • Portal access will remain active for 30 days after termination to allow data export

We reserve the right to terminate immediately if payments are more than 30 days overdue, or if the client engages in conduct that materially breaches the project agreement.

12 - Acceptable Use

You agree not to use our services or the client portal to:

  • Violate any applicable law, regulation, or third-party rights
  • Distribute malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to our systems, other users' accounts, or connected infrastructure
  • Reverse-engineer, decompile, or attempt to extract the source code of the portal platform itself (the portal is our proprietary tool; your project code is yours)

Violation of these terms may result in immediate suspension of portal access and termination of the project agreement.

13 - Governing Law

These terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in the State of Wyoming, in accordance with the rules of the American Arbitration Association.
